Counsel - In House
Counsel Candidate will be responsible for providing legal support to internal and external Bank clients on operational, advisory and corporate matters. Serve as the principal point of contact for legal issues relating to the Treasury's investment of the Bank's own liquid assets portfolio (approximately US$25 billion) and other funds under management by Investment Management Department within Treasury (US$78 billion in total). Negotiate a wide range of investment-related contracts and agreements with commercial counterparties, including repurchase, securities lending, derivatives, asset-backed and mortgage-backed forward transactions, and futures and options agreements. Negotiate investment management agreements with external managers. Negotiate custody, clearing and settlement contracts with third party service providers. Negotiate technology licensing and other contracts with third party suppliers. Provide legal guidance and assistance to the Treasury Operations Department in connection with investment-related issues, including account contracts, tax questions, and regulatory issues. Provide legal support for Investment Management Department client service activities, including asset management, training, and other financial services for central banks and other official sector clients. Handle a wide variety of other projects relating to financial transactions and policy issues as requested by the Chief Counsel. Work implies frequent interaction with the following: Investment Management Department portfolio managers and investment officers; Treasury Operations Department settlement and documentation personnel; Other Treasury, Controllers, and finance complex staff, including management; Transaction counterparties, including investment and commercial banks, brokers, investment and fund managers, and their internal and outside counsel; Outside counsel for the Bank, regarding highly specialized matters or issues of domestic law; Counterpart officials in government, supranational organizations, central banks, and other official sector clients; and Colleagues within the Legal Vice Presidency. Candidate should be qualified to practice law in at least one jurisdiction. Candidate having 5 years of relevant experience and/or J.D., LL.B., LL.M. or equivalent is preferred. Familiarity with market standard agreements in the investments area, including ISDA Master Agreements, Master Repurchase Agreements, Global Master Repurchase Agreements, and Master Securities Forward Transaction Agreements is needed.
